IV Zensations LLC

The following Terms & Conditions apply to the provision of facilities and personnel for the performance of various voluntary intravenous hydration and vitamin administration services via intravenous catheter (IV), intramuscular injection, and/or subcutaneous injection (collectively, the “Hydration Therapy Services”) by IV Zensations LLC (“IV Zensations”). Unless defined otherwise, the terms and definitions used herein shall refer to the terms and definitions set forth in the Hydration Therapy Services Agreement and Consent (the “Agreement”) signed by each client prior to the initiation of Hydration Therapy Services. In the event of a conflict, the terms and definitions of the Agreement shall take precedence.

1. Medical Condition. Client understands, represents, and warrants that client is not pregnant or breastfeeding and does not have heart, kidney, lung, liver, or any other health condition described in the Agreement. Client understands and agrees that if client has any of the aforementioned conditions, IV Zensations may be unable to provide services to client. Client understands, represents, and warrants that client has spoken with his or her health care provider and received approval to obtain Hydration Therapy Services.
2. Right to Refuse Service. IV Zensations retains the right to refuse service based on IV Zensations’ sole professional opinion. IV Zensations also has the right (but not the duty) to call 911 or refer client to further medical attention if deemed necessary by a IV Zensations’ medical professional provider.
3. Voluntary Service. Hydration Therapy Services are completely voluntary and are only provided for the client’s own benefit
4. Age. Client understands and agrees that to obtain services, client must be must be 18 years or older. Client represents and warrants that client is at least 18 years of age.
5. Results. Client understands, recognizes and agrees that any service client receives may or may not provide the result client seeks and expects. IV Zensations does not guarantee any particular outcome or effect, including the relief of symptoms or ailments. Moreover, IV Zensations does not warrant or represent that Hydration Therapy Services will be an effective treatment for any particular disease or condition.
6. Assumption of Risk. Client understands and agrees that Hydration Therapy Services comes with potential risks, including but not limited to allergic reaction, infection, discomfort, bruising, pain, inflammation, phlebitis, infection, metabolic disturbances, hypothermia, embolism, cardiac arrest, and even death. Complete information in regards to procedure and risk will be given at time of service and client will be asked to sign the Agreement, which contains an informed consent form. Client knowingly, voluntarily, and fully assumes all risks associated with obtaining Hydration Therapy Service from IV Zensations.
7. Legal Agreement. Client hereby warrants and agrees that these Terms & Conditions, and the Agreement, constitute a legal contract between client and IV Zensations and governs all services provided by IV Zensations to client. Client hereby irrevocably waives any argument or defense to the contrary, and client covenants not to set forth any argument or defense to the contrary.
8. Waiver. IV Zensations’ failure to enforce or demand strict compliance of any right or provisions in the Agreement or these Terms & Conditions will not constitute a waiver of such or any other provision.
9. Cancellation. Client understands and agrees that IV Zensations reserves any specified time and date for client. Accordingly, payments are non-refundable even if client cancels the request for IV Zensations’ services, cancels the event, or changes the date of the event. IV Zensations may choose, at IV Zensations’ sole discretion, to provide a refund to client or to charge client a reduced rate in the event of a cancellation upon reasonable notice to IV Zensations; similarly, IV Zensations may choose, at IV Zensations’s sole discretion, to provide services to client in the event that client changes the date of an event. Provided, however, that IV Zensations shall have no obligation to offer any refund, charge a reduced rate, or provide any additional or alternate services to client if client cancels the request for IV Zensations’ services, cancels the event, or changes the date of the event.
10. Modifications. Client agrees to examine these Terms & Conditions and sign the Agreement prior to receiving any services by IV Zensations. These Terms & Conditions may be modified by IV Zensations at any time without notice to client. Client agrees to be bound by any modification in these Terms & Conditions upon successively obtaining any services from IV Zensations. Client agrees and understands that if Client does not agree to the modification of these Terms & Conditions, then Client shall seek services elsewhere.
11. Governing Law. These Terms & Conditions, and the underlying Agreement, shall be governed by the laws of the State of Maryland, and the parties hereto expressly agree that the venue for any dispute arising hereunder shall be Harford County, Maryland. In the event that any provision of these Terms & Condition, or the underlying Agreement, is held by a court of competent jurisdiction to be invalid or unenforceable, the remainder of the provisions will remain in full force and effect. The parties agree that any suit, action, or proceeding, whether claim or counterclaim, brought or instituted by any party, or any of their successors or assigns, on or with respect to these Terms & Condition, or the underlying Agreement, or which in any way relates, directly or indirectly, to the same, shall be tried only by a court and not by a jury. The parties expressly waive any right to a trial by jury in any such action or proceeding. Moreover, the parties acknowledge and agree that this provision is a specific and material aspect of the of these Terms & Condition, and the underlying Agreement, and that the parties would not enter into the same if this provision was not contained herein.
12. Release and Indemnity. Client releases IV Zensations, its owners, members, officers, directors, agents, contractors, employees, licensees, and invitees from any and all liability for, and agrees to indemnify and hold IV Zensations harmless from and against, any and all losses, claims, expenses, costs, and damages, including but not limited to reasonable attorney’s fees, costs, or expenses, which are claimed of or sustained, suffered, paid or incurred by IV Zensations, irrespective of IV Zensations’ negligence, for reason of or in connection with client’s breach of or failure to fulfill any provision of the Agreement or these Terms & Conditions, including but not limited to any of the representations or warranties contained herein, whether such breach is material or not.
13. No Beneficiary. It is understood and agreed that client and IV Zensations are the sole parties to the Agreement, and the services provided pursuant to Agreement by IV Zensations for client is solely for the benefit of client.
14. Successors and Assigns. These Terms & Conditions shall be binding upon and inure to the benefit of the parties, their successors, assigns, and personal representatives.
